Terms of use - Vendino

These general terms and conditions (the "Agreement") apply between Vendino ApS and the company (the User) that has the right of use and uses vendino.com.

In the Agreement, "Vendino" refers to the company (Vendino ApS). The platform and all associated subdomains of the domain "vendino.com" are simply referred to as "www.vendino.com".

1. terms and conditions

1.1 These general terms and conditions apply to all agreements entered into on www.vendino.com with the company Vendino ApS behind it.

2. Rights and entitlements

2.1 All rights to the system www.vendino.com belongs to Vendino.
2.2 By purchasing a subscription, the user has obtained a right of use of the system, which Vendino may withdraw at any time without notice (see p. 8, Misuse).
2.3 User's right to use www.vendino.com is a non-exclusive agreement.

3. prices

3.1 All prices stated on www.vendino.com are only valid on the day of the order and can be changed by Vendino at any time - please note that Vendino will inform the user at least 30 days before the price change takes effect.
3.2 All prices are stated in Danish kroner (DKK) and are exclusive of VAT and taxes, which must be paid in accordance with applicable regulations.

4. Subscription & payment

4.1 Purchase of right of use for www.vendino.com is a subscription agreement entered into by the User and Vendino.
4.2 The subscription will automatically invoice each month until the User cancels the subscription. Cancellation of subscription is done electronically at www.vendino.com or via. email at [email protected].
4.3 Subscriptions can only be cancelled at the end of an ongoing period.
4.4 In the event of late payment, the right of use of www.vendino.com immediately cancelled if no other agreement has been made. Access to www.vendino.com can be opened again after full payment has been received, unless Vendino has cancelled the subscription beforehand.
4.5 Vendino may terminate the subscription at any time if Vendino suspects or detects misuse, including unauthorised access to data by the User.
4.6 Payment for goods and products offered on the Platform will be deducted from the payment card registered upon registration (unless otherwise agreed).

5. Data

5.1 Vendino has no rights to the User's data.
5.2 Upon termination of the Agreement, Vendino may delete the User's data at any time for any reason. Vendino must inform the User at least 10 days prior to the deletion of data so that the User can move their own data.
5.3 Vendino is not liable for loss of data for whatever reason. In the event of data loss, Vendino will endeavour to restore data using backups, but does not guarantee the restoration of lost data.

6. Operational stability

6.1 Vendino endeavours to achieve the highest possible uptime of www.vendino.combut shall not be liable for any disruptions or breakdowns for any reason whatsoever.
6.2 In the event of breakdowns or disruptions, Vendino endeavours to restore normal operations as soon as possible.

7. User's responsibilities & obligations

7.1 The User is at all times responsible for maintaining the User's access to www.vendino.com. Vendino is not liable for unauthorised access by third parties. In the event of misuse caused by unauthorised access, Vendino must be informed as soon as possible.
7.2 In the event of misuse caused by unauthorised third parties, Vendino may at any time withdraw the User's access to www.vendino.com. Vendino will restore the User's access if Vendino has not cancelled the subscription beforehand.
7.3 The user is at all times responsible for ensuring an internet connection and keeping up to date with the latest versions of browser applications as a prerequisite for utilising the right of use for www.vendino.com.
7.4 The user is at all times responsible for complying with applicable legislation.

8. Abuse

8.1 Vendino may at any time withdraw the User's access to www.vendino.com if Vendino suspects or recognises misuse. In the event of suspected misuse, Vendino will inform the User as soon as possible.
8.2 Vendino endeavours to prevent any misuse of www.vendino.combut does not guarantee that misuse, including intrusion into Vendino's IT systems, cannot occur.

9. Right of cancellation

9.1 When purchasing a subscription, the User waives his right of cancellation, as the subscription is taken into use immediately. In the event of a cancelled purchase, the User may contact Vendino and Vendino may, at its discretion, refund the User's purchase.

10. Entry into force & changes

10.1 The agreement is valid from 23 October 2020.
10.2 Vendino reserves the right to change and update the terms and conditions of the Agreement without notice. Vendino endeavours to inform the User of any significant changes, but the User is responsible for keeping himself/herself updated on the applicable terms and conditions.
